Terms & Conditions

These Terms govern your access to and use of Joltify, the AI workflow automation platform operated by Trubit ApS (Roskilde, Denmark).

1. Acceptance of Terms

By creating an account, accessing, or using Joltify (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.

2. Description of the Service

Joltify is a cloud-based AI workflow automation platform. The Service may include visual workflow editors, AI agents, third-party integrations, data processing, and related features. Trubit reserves the right to change, suspend or discontinue all or part of the Service at any time without liability.

3. Accounts & User Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must ensure your use complies with applicable laws. Trubit is not liable for any losses arising from unauthorized access to your account.

4. Permitted and Prohibited Use

You agree not to: use the Service for unlawful or harmful purposes; attempt to reverse-engineer or extract source code; introduce malware, spam, or malicious requests; disrupt the Service; or otherwise use the Service in a manner that harms Trubit or other users. Trubit may suspend or terminate accounts that violate these Terms.

5. AI Outputs — User Assumption of Risk

Joltify uses experimental artificial intelligence to generate, transform, analyze or recommend content, data, actions, or decisions (“AI Outputs”). YOU ACKNOWLEDGE AND ACCEPT THAT AI OUTPUTS ARE HIGHLY EXPERIMENTAL AND PROVIDED ENTIRELY AT YOUR OWN RISK. AI Outputs may be inaccurate, biased, illegal, incomplete, harmful, misleading, or otherwise unreliable.

  • No Warranty or Guarantee: Trubit makes NO WARRANTY WHATSOEVER regarding the accuracy, reliability, legality, safety, intellectual property ownership, or fitness for purpose of any AI Output.
  • Sole Responsibility for Validation: You are solely and fully responsible for reviewing, validating, independently verifying, and ensuring the compliance and suitability of any AI Output before relying on it or taking any action based on it.
  • No Professional or Legal Advice: AI Outputs DO NOT constitute professional advice, including, but not limited to, legal, financial, medical, or technical advice.
  • Strictly Restricted Use: You agree not to use AI Outputs in connection with any safety-critical systems, life support, medical diagnosis, regulatory compliance, financial transactions, legal filings, or any other environment where errors could reasonably lead to personal injury, death, significant environmental damage, or catastrophic financial loss.

6. Third-party Services

The Service may integrate with or rely on third-party services and APIs. Trubit is not responsible for third-party service performance, security, or content. Use of third-party services may be subject to separate terms and fees.

7. Disclaimer of Warranties (AS-IS Basis)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND. Trubit expressly disclaims all warranties, whether express, implied, or statutory, including:

  • Warranties of title, merchantability, fitness for a particular purpose;
  • Warranties of non-infringement;
  • Warranties concerning security, performance, or continuous availability;
  • Warranties that the Service or AI Outputs will meet your requirements or comply with any specific law, regulation, or industry standard (including data security standards).

Trubit does not warrant that the Service will operate without interruption or error-free.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY DANISH AND EU LAW (EXCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT):

  • Trubit shall NOT be liable for any indirect, incidental, consequential, special, exemplary, punitive, or reliance damages, including, without limitation: loss of profits, revenue, data, business, anticipated savings, loss of goodwill, failure of security mechanisms, or costs of procuring substitute goods or services, whether arising in contract, tort (including negligence), or otherwise, even if Trubit has been advised of the possibility of such damages.
  • Trubit's maximum aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the lesser of:
    1. The total amount paid by you to Trubit for the Service during the one (1) month period immediately preceding the event giving rise to the claim; or
    2. TEN EUROS (€10.00).
  • This limitation applies to all causes of action and shall apply even if the remedy fails its essential purpose.

Consumer note: If you are a consumer, mandatory statutory rights under Danish and EU law may apply; these Terms do not and cannot lawfully exclude such rights (for example liability for personal injury or death caused by gross negligence or intentional misconduct).

9. Indemnification

You agree to indemnify, defend and hold harmless Trubit and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law or a third party's rights.

10. Data Protection & Privacy

Trubit processes personal data in accordance with applicable Danish and EU data protection laws, including the GDPR. Please review our Privacy Policy for details on how we collect, use and protect personal data, and how to exercise data subject rights.

To improve the quality and features of the Service, we may use anonymized and aggregated data derived from user interactions. We will never use your personal data or confidential content to train our AI models without your explicit consent. Further details are provided in our Privacy Policy.

11. Consumer Rights (B2C)

If you are a consumer within the EU/EEA, you may have statutory rights which cannot be waived. In particular:

  • Right of withdrawal: Due to the nature of our digital services, there is no right of withdrawal once access to the Joltify platform has been granted or the service has begun. By creating an account, activating a subscription, or using the platform, you agree that the service begins immediately and acknowledge that the statutory right of withdrawal does not apply. This applies to both B2C and B2B customers, as the service is delivered digitally and fulfilled instantly.
  • Mandatory consumer protections: These Terms are subject to mandatory consumer protection rules under Danish and EU law and will be interpreted accordingly.

12. Fees & Credits

Service access, usage limits, credits, billing, refunds and payment terms are governed by the pricing and billing information available on our website and any separate subscription agreement you accept when purchasing the Service.

13. Termination

Trubit may suspend or terminate your access to the Service at any time for breach of these Terms or for other legitimate reasons. Upon termination, your license to use the Service ends immediately. Surviving provisions include intellectual property, disclaimers, limitation of liability, indemnity and governing law clauses.

14. Intellectual Property

All intellectual property rights in Joltify (software, UI, documentation, trademarks) remain the exclusive property of Trubit and its licensors. You retain full ownership of the content you provide to the Service and any AI Outputs generated by the Service from your content. You grant Trubit a limited, worldwide, royalty-free license solely to host, process, and display your content as necessary to provide and maintain the Service for you.

15. Changes to These Terms

Trubit may update these Terms from time to time. We will post the updated Terms on this page with an updated "Last updated" date. Continued use of the Service after posting constitutes acceptance of the updated Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. The dispute resolution method depends on your residency.

16.1. Dispute Resolution for Non-U.S. Residents

If you are not a resident of the United States, any dispute arising from these Terms shall be resolved exclusively by the Court in Roskilde (*Retten i Roskilde*), Denmark. If you are a consumer, you may also use Danish consumer dispute mechanisms or the EU Online Dispute Resolution platform.

16.2. Dispute Resolution for U.S. Residents (Mandatory Arbitration)

If you are a resident of the United States, you and Trubit ApS agree to resolve any dispute arising from these Terms or the Service through final and binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Class Action and Jury Trial Waiver: YOU AND TRUBIT APS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND TRUBIT APS HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

You may opt out of this agreement to arbitrate by emailing legal@joltify.ai within 30 days of first accepting these Terms.

17. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in force. These Terms constitute the entire agreement between you and Trubit regarding the Service.
